This End User License Agreement ("EULA", "Agreement") constitutes a binding legal agreement governing your access to and use of the DocuCognito SaaS platform, web interfaces, APIs, dynamic form engines, and AI-powered document generation technologies.
01. Licensing Entity, Scope & Grant of Limited SaaS License
This Agreement is entered into between DOCUCOGNITOAI, S.R.L. ("DocuCognito", "Licensor", "We", "Us"), a limited liability company duly incorporated under the laws of the Dominican Republic, Tax ID (RNC) No. 1-33-45956-6, and you, as an individual end user or authorized representative of a legal entity ("Licensee", "User", "You").
Conditioned upon your continuous compliance with this Agreement and timely payment of applicable subscription fees, DocuCognito grants you a personal, non-exclusive, non-transferable, revocable, non-sublicensable, worldwide SaaS access license to access, execute, and utilize the cloud platform, dynamic forms, and AI generation suite for your legitimate business operations.
SaaS License vs. Software Sale
You expressly acknowledge that DocuCognito is delivered strictly as a cloud-hosted service (Software as a Service). Nothing herein shall be construed as a sale, assignment, or transfer of ownership of our proprietary source code, machine learning model weights, or underlying patents.
02. Intellectual Property Ownership & Customer Data
Licensor Intellectual Property: All worldwide intellectual property rights in and to DocuCognito—including but not limited to orchestration algorithms, compiled C#/.NET and WebAssembly binaries, front-end architecture, UI designs, trademarks, brand badges, and technical documentation—are and shall remain the exclusive property of DOCUCOGNITOAI, S.R.L.
Customer Data & Document Ownership: The Licensee retains full and exclusive ownership of all uploaded data, custom private templates, and final generated output documents. DocuCognito does not claim ownership over the legal contracts, forms, or documents you create and export.
03. License Restrictions & Prohibited Conduct
The Licensee agrees not to perform, nor allow or assist any third party in performing, any of the following restricted actions:
- Reverse Engineering: Decompiling, reverse engineering, disassembling, or attempting to discover source code or model weights.
- Automated Scraping: Deploying spiders, scrapers, automated scrapers, or scripts to extract content or bypass architectural rate limits.
- Commercial Resale & White-Labeling: Sublicensing, renting, leasing, reselling, or providing time-sharing access to the platform without prior written authorization.
- Security Circumvention: Bypassing Firebase authentication, tampering with AI Action quota tracking, or disrupting cryptographic hash verification.
- Unlawful or Malicious Use: Generating deceptive, fraudulent, defamatory, or infringing content that violates applicable domestic or international statutes.
04. AI Output Disclaimer, Mandatory Human Review & Model Non-Training
Productivity Aid — Not Legal Counsel: Drafts, agreements, and dynamic forms generated by our artificial intelligence engine (Google Gemini / Vertex AI) are designed as operational productivity accelerators. DocuCognito is not a law firm and does not provide legal representation. The Licensee is solely responsible for ensuring that all documents are thoroughly reviewed by certified legal counsel before execution or formal submission.
Covenant Against Competitive Model Training: The Licensee expressly covenants and agrees not to use any output generated by DocuCognito to train, fine-tune, benchmark, or develop competing foundational AI models or automated document generation systems.
05. Social Media Protections, Brand Assets, Corporate Reputation & Marketing
DocuCognito maintains active digital assets across social media platforms. To protect corporate goodwill, brand integrity, and public trust:
1. Official Social Media Handles & Trademark Protection
All official social channels (including @DocuCognitoAI on X/Twitter, @docucognito.ai on Instagram, LinkedIn, Facebook, and YouTube) and associated logos are proprietary brand assets. You shall not impersonate, create confusingly similar handles, cybersquat variations containing "docucognito", or deceptively claim official affiliation.
2. Prohibition on Defamation & Fabricated Technical Proofs
The Licensee agrees not to publish manipulated screenshots, falsified recordings, or malicious disinformation on social networks aimed at disparaging DocuCognito's operational security or reliability. All bug reports and technical queries must be routed through official support channels (support@docucognito.ai).
3. User Social Mentions & Promotional Rights
When you voluntarily post public reviews, case studies, or positive social media mentions tagging DocuCognito or utilizing our official hashtags, you grant us a perpetual, worldwide, royalty-free license to quote, repost, and feature such statements across our marketing materials.
06. Electronic Signature Validity & Cryptographic Audit Trails
DocuCognito's electronic signature service complies with global statutory frameworks (Dominican Law 126-02, US ESIGN Act, US UETA, and EU eIDAS Regulation). Signatures executed through the service generate an immutable cryptographic certificate containing SHA-256 document fingerprints, UTC timestamps, verified signer IP addresses, and user agents verifiable via our public verification gateway (/verify).
07. Multi-Tenant Workspaces & Seat Governance
For Team and Enterprise tiers, licenses are allocated on a per-seat basis. The Workspace Owner is directly accountable for managing role-based access control (Admin, Member, Viewer), ensuring all team members adhere to this EULA, and immediately deactivating departed personnel.
08. Third-Party Cloud Providers & Integrations
The platform relies on enterprise-grade third-party infrastructure including Google Cloud / Firebase (storage, databases, authentication), Google Gemini (AI inference), Stripe (PCI-DSS payment handling), and Google reCAPTCHA Enterprise. The Licensee acknowledges that feature availability may be affected by upstream provider maintenance.
09. Continuous Software Updates & Experimental Beta Modules
DocuCognito is continuously updated and patched in the cloud without requiring manual client installations. We may periodically offer experimental or "Beta" modules, which are provided on an exploratory basis and may be modified or retired at our discretion.
10. Term, Breach Suspension & Cryptographic Data Purging
This Agreement takes effect upon your initial access to the platform and remains active until terminated. DocuCognito reserves the right to immediately suspend or terminate access upon a material breach of license conditions. Following account termination, a 30-day export window is provided, after which stored documents are irreversibly purged in accordance with our Privacy Policy.
11. Disclaimer of Warranties ("As-Is" & "As-Available")
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE DOCUCOGNITO SERVICE, AI GENERATION SUITE, TEMPLATES, AND ELECTRONIC SIGNATURE MODULES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
12. Limitation of Liability & Mutual Indemnification
Liability Cap: In no event shall DOCUCOGNITOAI, S.R.L., its directors, officers, or affiliates be liable for any indirect, special, incidental, or consequential damages. Our aggregate cumulative liability arising from or related to this Agreement shall not exceed the amount actually paid by you to DocuCognito in the twelve (12) months preceding the incident, or USD $100.00, whichever is greater.
Licensee Indemnification: You agree to defend, indemnify, and hold harmless DocuCognito against any third-party claims, liabilities, damages, and legal expenses resulting from your breach of this Agreement, misuse of the platform, or the specific content of documents you generate.
13. Governing Law, Exclusive Venue & Corporate Entity Contact
This Agreement shall be governed by and construed under the laws of the Dominican Republic. Any legal action or dispute arising hereunder shall be subject to the exclusive jurisdiction of the competent courts of the National District (Distrito Nacional), Santo Domingo, Dominican Republic.
