Terms and Conditions

1. Introduction & Acceptance

Welcome to DocuCognito.ai. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and DOCUCOGNITOAI, SRL ("Company", "we", "us"), a legal entity incorporated under the laws of the Dominican Republic with RNC 133-45956-6, located in Bella Vista, Santo Domingo. The Company operates the DocuCognito.ai Software as a Service ("SaaS") platform.

By registering an account, clicking "Accept," or using our Services, you declare that you are of legal age (18+) and have the legal capacity to enter into these Terms, agreeing to comply with all applicable international laws (including GDPR, CCPA/CPRA, LGPD) and Dominican Republic legislation (Law No. 126-02 on E-Commerce). If you do not agree, you must immediately suspend the use of our Services.

2. Service Description and License

DocuCognito.ai is an Artificial Intelligence-powered document automation platform. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your commercial or personal purposes.

2.1 Acceptable Use Policy (AUP)

You agree NOT to use the platform to:

• Generate, process, or distribute illegal, defamatory, discriminatory, or malicious content.
• Infringe upon the intellectual property rights of third parties.
• Reverse engineer, decompile, copy, or attempt to extract the source code or AI models of the platform.
• Resell, sublicense, or market access to DocuCognito.ai as a white-label service without our express consent.
• Attempt to bypass security measures, API rate limits, or compromise the platform's infrastructure.

3. User Accounts and Security

To use certain features, you must register. You are solely responsible for maintaining the confidentiality of your credentials (including tokens generated by Google Firebase Auth). All activity occurring under your account is your responsibility. We reserve the right to suspend or terminate accounts that violate these Terms or present a security risk to the platform, without prior notice or liability.

4. Intellectual Property

The Service, including but not limited to its codebase, AI algorithms, user interface design (UI/UX), logos, and branding, are the exclusive property of DOCUCOGNITOAI, SRL. Nothing in these Terms grants you any rights to our trademarks or underlying intellectual property.

5. User Content and Data

You retain all intellectual property rights to the templates, form input data, and generated documents ("User Content"). By uploading User Content, you grant us a worldwide, royalty-free, secure license to host, process, and display this content strictly for the purpose of providing the Service to you.

You warrant that you possess the necessary legal rights and consents (as required by GDPR, CCPA, Dominican Law No. 172-13) to upload and process any personal or third-party data through our platform.

6. Payments, Subscriptions, and Refunds

Certain features require a paid subscription. Fees are billed in advance. All payments are handled by secure third-party processors (e.g., Stripe). Payments are non-refundable, except where required by applicable law (such as EU withdrawal rights, if applicable). We reserve the right to modify prices by providing at least 30 days' advance notice.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. DOCUCOGNITOAI, SRL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. Documents generated by our Artificial Intelligence are provided for convenience and do not constitute legal, financial, or professional advice. You are solely responsible for reviewing the accuracy and legal validity of all generated documents.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOCUCOGNITOAI, SRL, ITS DIRECTORS, EMPLOYEES, OR SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION.

IN NO EVENT SHALL THE TOTAL CUMULATIVE LIABILITY OF THE COMPANY EXCEED THE TOTAL AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless DOCUCOGNITOAI, SRL, its affiliates, and employees against any claim, damage, obligation, loss, or expense (including reasonable legal fees) arising from: (i) your misuse of the Service; (ii) your violation of these Terms; (iii) your infringement of any third-party rights, including privacy or intellectual property rights.

10. Force Majeure

We shall not be liable for any delay or failure to perform our obligations when such failure is due to causes beyond our reasonable control, including but not limited to natural disasters, government acts, strikes, third-party internet infrastructure failures (such as Google Cloud or Firebase), or major cyberattacks.

11. Governing Law and Dispute Resolution

These Terms and any dispute arising in connection with them shall be governed by and construed exclusively in accordance with the laws of the Dominican Republic, without giving effect to its conflict of laws principles.

Any controversy shall be submitted to the exclusive jurisdiction of the competent courts located in Santo Domingo, Distrito Nacional, Dominican Republic. You waive any objection based on inconvenient forum (forum non conveniens).

12. Modifications to Terms

We reserve the right to modify these Terms at any time to comply with new legislation or reflect platform changes. We will notify you through our platform's version control system, where you will be required to accept the new policies before continuing to use the Service.
